BidBurg Platform Terms & Conditions

Effective Date: January 1, 2026

These Terms & Conditions ('Terms') constitute a legally binding agreement between the User and BidBurg Ltd. ('Company'), governing access to the BidBurg platform, the use of all its services, and participation in auctions of cultural property, fine art, and collectibles.

Definitions

For the purposes of these Terms: • 'Auction' — the process of competitive bidding in electronic form. • 'Lot' — an item or set of items offered for sale at Auction. • 'Hammer Price' — the final bid price for a Lot fixed at the moment of closing. • 'Buyer's Premium' — the commission paid by the Buyer to the Company in addition to the Hammer Price. • 'Provenance' — the history of ownership of a work of art.

Registration and KYC/AML Compliance

Platform registration is mandatory for bidding. The Company adheres to strict Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) standards. Users must provide: • Individuals: Government-issued ID, proof of residence. • Legal Entities: Incorporation documents, beneficial ownership data, registration certificate, and tax identification (VAT/EIN). The Company reserves the right to suspend bidding access pending full due diligence verification.

Auction Status and Legal Offer

A Lot exhibition is an invitation to treat. Every bid placed by a User is an irrevocable offer. Upon the conclusion of the Auction, the acceptance of the winning bid creates a legally binding contract of sale between the Seller and the Buyer, with the Company acting as agent.

Financial Obligations

The total amount due includes: 1. The Hammer Price. 2. Buyer's Premium (standard rate 20%). 3. Taxes (VAT/Sales Tax) as applicable by jurisdiction. 4. Insurance and packing costs. 5. Shipping costs. Payment must be rendered in the Auction currency within 7 business days.

Authenticity Warranties and Liability

Lot descriptions in the catalog represent expert opinions. The Company guarantees authenticity under a 'Limited Warranty' for 12 months from the sale date. All items not covered by this Limited Warranty are sold 'AS IS,' with all faults and imperfections, whether evident or not upon inspection.

Bidding Procedures and Technical Terms

The Company is not liable for technical failures, internet outages, or data transmission delays on the User's end. Bid Increments are set by system algorithms and may be adjusted by the auctioneer at any time to maintain Auction momentum.

Cultural Heritage and Export Restrictions

Certain Lots may be classified as cultural heritage. The Buyer is solely responsible for complying with cultural property export laws. While the Company may assist in obtaining export licenses, a denial of such licenses by state authorities is not grounds for cancellation of the sale.

Storage and Transfer of Lots

Title passes to the Buyer only upon receipt of full and cleared payment. Paid Lots are stored free of charge for 14 days. Thereafter, storage fees will apply according to the warehouse tariff schedule.

Anti-Manipulation Policies

Price manipulation, including 'shill bidding' by the Seller or their affiliates, is strictly prohibited. Detection of such activities will result in a permanent ban and nullification of the Auction results.

Confidentiality of Bidding

BidBurg maintains the anonymity of bidders. The identity of the Buyer is not disclosed to the Seller, and vice-versa, unless required for title transfer documents or export permits.

Force Majeure

Neither party shall be liable for failure to perform its obligations if such failure results from circumstances beyond its reasonable control (fire, flood, earthquake, war, pandemic, embargo).

Dispute Resolution and Arbitration

All claims must be submitted in writing within 14 days of Lot receipt. If a dispute cannot be resolved through negotiation, it shall be settled by arbitration in the jurisdiction of the Company's registration.
